1. Introduction / Acceptance of Terms

Welcome to JEUNEMEDIASTUDIO. These Terms of Service constitute a legally binding agreement entered into by and between the individual or entity engaging our services and JEUNEMEDIASTUDIO, a premium creative and technology agency. By accessing our website, purchasing our services, signing a project agreement, or commencing work with our agency, you explicitly acknowledge that you have read, understood, and agreed to be bound by these Terms of Service in their entirety.

If you are entering into this agreement on behalf of a corporation, partnership, or other business entity, you represent and warrant that you possess the full legal authority and corporate authorization to bind such legal entity to these terms. If you do not agree to be bound by these Terms of Service, you are strictly prohibited from utilizing our website, workspaces, or services, and you must cease all engagement with our agency immediately.

2. Services Description

JEUNEMEDIASTUDIO is an established premium creative and technology agency offering professional digital execution services. The specific services provided are defined in detail within the designated Project Proposals, Estimates, or Statements of Work issued by the agency. Our service offerings encompass the following feature areas:

  • Web Design and Web Development: Engineering premium, high-performance static and dynamic web systems, structural user flows, responsive layouts, and interactive experiences.
  • Shopify and E-commerce Store Development: Custom online storefront customization, conversion rate optimizations, sales channel setups, and data synchronization integrations.
  • UI/UX Design: Creating high-fidelity user interface prototypes, wireframes, structural visual components, and comprehensive design canvases tailored to brand architectures.
  • Branding and Logo Design: Creating comprehensive brand identities, customized business logos, corporate typographies, custom monograms, and brand standards guides.
  • Mobile App Development (iOS and Android): Engineering native and cross-platform mobile software architectures, active database sync modules, and dynamic front-end assets.
  • Motion Graphics and Video Production: Designing fluid micro-animations, premium video content, commercial motion vectors, and cinematic branding elements.
  • SEO and Digital Marketing Services: Devising custom search engine optimization strategies, structured on-page enhancements, database metadata tuning, and digital marketing integrations.
  • Custom Software Development: Developing proprietary enterprise software modules, advanced cloud infrastructure setups, bespoke API routers, and automation data pipelines.

3. Payments and Billing Terms

The client agrees to pay all fees, rates, and costs specified in the applicable Statement of Work, project proposal, or billing dashboard. Unless otherwise specified in writing by the agency, all custom creative and development projects require a non-refundable upfront deposit of fifty percent of the total project value prior to scheduling and commencement of work.

The remaining balance is structured around designated project milestones or billed upon final project completion, but always prior to file delivery, domain deployment, or handoff of live assets. Invoices are due and payable in full upon receipt. JEUNEMEDIASTUDIO reserves the right to suspend all active development, pause workspace reviews, or temporarily disable live demo environments if any invoice remains unpaid for more than seven business days past the due date.

4. Project Delivery and Timelines

JEUNEMEDIASTUDIO is committed to executing projects within the estimated timelines and milestones specified in the project agreement. The client acknowledges that estimated timelines and delivery schedules are conditional upon the client providing prompt feedback, approvals, and required intellectual assets within the requested timeframe.

The agency shall not be held liable, responsible, or contractually deficient for any project delays, delivery deferrals, or missed deadlines resulting directly from the client's failure to provide approvals, database credentials, textual copywriting content, or media assets in a timely manner. Any significant project delay caused by the client for more than thirty consecutive calendar days may result in a formal rescheduling fee or the administrative suspension of the project.

5. Revisions and Change Requests

Unless explicitly outlined otherwise within the project agreement, our standard project quotes include up to two rounds of revisions during the designated design and prototyping phases. A round of revisions is defined as a structured, compiled list of visual or text changes provided by the client prior to commencing the next phase of development.

Any additional edits, structural modifications, or revisions requested beyond the included rounds of revisions, or any modifications requested after the client has formally approved a design phase, shall be classified as a Change Request. Change Requests and out-of-scope tasks are billed separately at the agency's standard hourly consulting rate, or under a separate Statement of Work agreed to by both parties in writing.

6. Intellectual Property Rights

We enforce a clear and balanced intellectual property division to protect both your custom branding and our proprietary agency assets:

  • Client Ownership: Upon final project settlement and payment in full of all outstanding invoices, JEUNEMEDIASTUDIO transfers to the client all exclusive intellectual property rights, copyrights, and ownership over the customized logos, branding visual assets, unique website copy, and static custom code written specifically for the client's project.
  • Agency Retention: JEUNEMEDIASTUDIO retains full, exclusive, and absolute ownership over all pre-existing coding frameworks, proprietary software architectures, visual smartphone mockups, backend engines, and dynamic scripts developed by our agency. The client is granted a perpetual, non-transferable, royalty-free license to run these integrated systems strictly as part of the delivered, integrated digital product.

IP Transfer Conditions

The transfer of intellectual property rights and copyrights over custom visual deliverables is strictly contingent upon full and final payment. The client possesses no rights to utilize, publish, or distribute any custom assets or custom code in a live environment if there is an outstanding balance on the project account.

7. Client Responsibilities

The client plays an active and critical role in the successful delivery of digital agency projects. You represent and warrant that you are solely responsible for:

  • Providing accurate, complete, and legally compliant project briefs, technical specifications, and brand parameters.
  • Securing valid licenses, copyrights, and permissions for all text, photography, corporate logos, and media assets supplied to the agency for integration.
  • Ensuring that all supplied assets do not infringe upon the intellectual property or privacy rights of any third party.
  • Reviewing, testing, and confirming the accuracy of all web copy, calculations, e-commerce products, and forms prior to authorizing the live deployment of the deliverables.

8. Cancellation and Refund Policy

Due to the highly customized, bespoke nature of creative design, brand identity modeling, custom software development, and the immediate allocation of scheduling resources, JEUNEMEDIASTUDIO enforces a strict non-refundable policy. All deposits, milestone installments, and subscription fees paid to our agency are non-refundable.

Either party may terminate the project agreement upon ten business days' written notice to the other party if a material breach remains uncured. In the event of a client-initiated project cancellation or termination, the client agrees to compensate JEUNEMEDIASTUDIO in full for all accumulated development hours, project coordination, and creative work completed up to the effective date of cancellation, using the agency's standard hourly consulting rate.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAWS, IN NO EVENT SHALL JEUNEMEDIASTUDIO, ITS DIRECTORS, DEVELOPERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO:

  • Loss of business profits, corporate revenues, market contracts, goodwill, or commercial opportunities.
  • Loss, corruption, or exposure of databases, customer files, or server connection configurations.
  • Reputational damages or third-party claims resulting from errors, system downtimes, or technical issues on your live website or application.

THE TOTAL AGGREGATE LIABILITY OF JEUNEMEDIASTUDIO FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THE AGREEMENT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, SHALL BE STRICTLY LIMITED TO THE ACTUAL NET AMOUNT PAID BY THE CLIENT TO THE AGENCY FOR THE SPECIFIC SERVICE SEGMENT GIVING RISE TO THE CLAIM DURING THE THREE MONTHS IMMEDIATELY PRECEDING THE EVENT.

10. Confidentiality

During the course of our engagement and thereafter, both JEUNEMEDIASTUDIO and the client agree to protect and maintain the strict confidentiality of all proprietary, sensitive, or trade-secret information disclosed by one party to the other that is marked as confidential or should reasonably be understood to be confidential based on its nature.

Confidential Information includes, but is not limited to: business plans, software source code, proprietary algorithms, database schemas, customer lists, and financial pricing agreements. Neither party shall disclose Confidential Information to any third party without obtaining prior written consent, except as required by a court of competent jurisdiction or applicable regulatory authorities.

11. Third-Party Services

JEUNEMEDIASTUDIO often integrates or utilizes third-party platforms, APIs, software, hosting providers (such as Vercel, Railway, and external database systems), large language models, or e-commerce platforms (such as Shopify) to construct and host deliverables. The client acknowledges that third-party services are not owned, managed, or controlled by our agency.

We do not assume any responsibility, warranty representation, or liability for the performance, availability, security, pricing adjustments, policy changes, or termination of third-party platforms. The client's use of third-party systems is governed strictly by the separate terms and conditions of those respective platforms. If a third-party service suspends or alters our connection, we reserve the right to modify or adjust the related service features immediately, without liability.

12. Modifications to Terms

JEUNEMEDIASTUDIO reserves the right to modify, amend, update, or rewrite these Terms of Service at any time. When material changes are made, we will post the updated Terms inside this page (terms.html) and update the revision date. Your continued engagement with our agency, use of our workspaces, or maintenance of our custom installations after the revised Terms become active constitutes your explicit, legally binding agreement to the updated Terms.
